These Terms of Service ("Terms") govern use of Strategic Finance Connect (the "Application"), provided by Strategic Finance LLC ("we," "us," or "our") to its clients ("you" or "Client"). By connecting your QuickBooks Online ("QBO") company to the Application, or by having your accountant connect it with your permission, you agree to these Terms.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application solely so that Strategic Finance LLC can provide services to you: the services described in your engagement with us, or, if you are considering an engagement, a review of your books to scope that work. The Application is intended for our clients and for businesses discussing an engagement with us.
The Application connects to QBO through Intuit's OAuth 2.0 authorization. You authorize us to read your accounting data and, as part of the services you have engaged us for, to create and update accounting records in your QBO company. We make changes only within the scope of your engagement, using the safeguards described in our Privacy Policy (review before sending, before-change records, read-back confirmation, and an audit log). You may ask us at any time to limit the connection to read-only use.
The Application and all software and materials we provide remain our property. These Terms do not transfer any ownership rights to you. Deliverables we prepare for you are governed by your engagement agreement with us.
These Terms cover the Application only. Fees, scope of services, and professional responsibilities are governed by your engagement agreement with Strategic Finance LLC, if you have one. If the two conflict, the engagement agreement controls.
The Application is provided on an "as is" and "as available" basis. Reports and analysis depend on the accuracy of your source data. Nothing in the Application by itself constitutes tax, legal, audit, or investment advice. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law, Strategic Finance LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or relating to your use of the Application. Our total liability relating to the Application will not exceed the fees you paid us in the three months before the claim arose.
Either party may end the connection at any time. When the connection ends we stop accessing your QBO company and handle your data as described in our Privacy Policy.
The Application is not made, sponsored, or endorsed by Intuit Inc. QuickBooks is a trademark of Intuit Inc. Your use of QuickBooks Online is governed by your agreement with Intuit.
These Terms are governed by the laws of the State of South Carolina, USA, without regard to its conflict-of-laws rules.
We may update these Terms from time to time. Material changes will be reflected by an updated effective date on this page.
